Terms and Conditions of Service

1. Parties and Acceptance

This agreement is between DESARROLLO DE SOLUCIONES MOVILES, S. DE R.L. DE C.V. ("Visita Segura", "SmartNova", "we"), with registered address at Zaragoza 330, int 104, Colonia Centro, Queretaro, Qro., Mexico, and you ("User"), user of the Service.

By using the Service, you accept these Terms and Conditions in their entirety, as well as the Privacy Policy. If you do not agree, you must stop using the Service immediately.

3. Service Description

Visita Segura is a visitor and supplier access control platform that includes:

  1. Generation and delivery of digital invitations with dynamic QR codes
  2. Access validation through QR scanning with photo evidence
  3. Manual entry and exit registration
  4. Digital credential management for suppliers and contractors
  5. Tool voucher control with photo records and digital signatures
  6. Material exit voucher control with evidence
  7. Documented package reception and delivery
  8. Dashboard with real-time reports and analytics
  9. Multi-site management from a centralized panel
  10. REPSE compliance module for suppliers (additional service)

4. Registration and User Account

  1. To access the Service, you must provide truthful information: name, email address, and mobile phone number.
  2. You are responsible for maintaining the confidentiality of your access credentials.
  3. You must immediately report any unauthorized use of your account to privacidad@visitasegura.com.
  4. Visita Segura reserves the right to suspend or cancel accounts that violate these Terms.

5. Acceptable Use

The User agrees to:

  1. Use the Service solely for the intended access control purposes.
  2. Not duplicate, transfer, distribute, or modify any component of the Service without written authorization.
  3. Not attempt reverse engineering, decompilation, or alteration of the software.
  4. Not use automated systems (bots, spiders, scrapers) to access the Service.
  5. Not send false, defamatory, offensive, or illegal content through the Service.
  6. Not store or transmit viruses, malware, or harmful code.
  7. Not collect personal data from other users for unauthorized commercial purposes.

6. Data and Evidence

  1. Photographs captured during visit registration (ID, vehicle, license plates) will be stored for a period of 90 days, unless otherwise agreed with the Client Company or required by law.
  2. Digital signatures captured on tool and material exit vouchers have internal probative value within the relationship between the Client Company and the contractor/visitor.
  3. Geolocation data is used exclusively to record the location of the access point and is not used for continuous tracking.
  4. The Client Company is responsible for informing its visitors and suppliers about the use of Visita Segura and the capture of evidence at its facilities.

7. Digital Invitations and QR Codes

  1. Digital invitations generate dynamic QR codes with configurable validity set by the Resident or Administrator.
  2. The User is responsible for the content and accuracy of the invitations they issue.
  3. Location data shared through invitations will only be visible to authorized recipients.
  4. The MyLink feature allows sending pre-registration forms to visitors; data provided by the visitor is subject to this same policy.

8. REPSE Module (Additional Service)

  1. The REPSE module enables management of supplier compliance documentation in accordance with Mexican regulations.
  2. The Client Company is responsible for verifying the authenticity and validity of documents uploaded by its suppliers.
  3. Visita Segura acts solely as a document management platform and does not certify or validate REPSE information.

9. Intellectual Property

The design, source code, trademarks, logos, interfaces, and content of the Service are the exclusive property of DESARROLLO DE SOLUCIONES MOVILES, S. DE R.L. DE C.V. and are protected by the intellectual property laws of Mexico and international treaties.

A limited, non-exclusive, non-transferable license is granted to use the Service in accordance with these Terms.

10. Plans and Billing

  1. Service plans and pricing are agreed directly with each Client Company.
  2. Visita Segura reserves the right to modify prices with 30 days' prior notice.
  3. Non-payment may result in temporary suspension of the Service.

11. Availability and Support

  1. Visita Segura makes commercially reasonable efforts to maintain Service availability but does not guarantee uninterrupted availability.
  2. Scheduled maintenance will be notified with reasonable advance notice.
  3. Technical support is available through the channels provided to each Client Company.

12. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW:

  1. Visita Segura does not guarantee the accuracy, completeness, or uninterrupted availability of the Service.
  2. Visita Segura shall not be liable for indirect, incidental, special, or consequential damages arising from the use of the Service.
  3. Visita Segura's total liability shall not exceed the amount paid by the Client Company in the 12 months prior to the event giving rise to the claim.
  4. Visita Segura is not responsible for the content of invitations issued by users or for the physical security of the Client Company's facilities.

13. Indemnification

You agree to indemnify and hold harmless Visita Segura, its directors, employees, and agents against any claim arising from: (i) your use of the Service; (ii) violation of these Terms; (iii) violation of third-party rights; (iv) the content of invitations you issue.

14. Cancellation and Termination

  1. The Client Company may cancel the Service by providing 30 days' written notice.
  2. Visita Segura may suspend or cancel access for violation of these Terms, with prior notice when possible.
  3. After cancellation, data will be retained in accordance with the periods described in the Privacy Policy and subsequently deleted.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Queretaro, Mexico. Any dispute shall be submitted to the jurisdiction of the competent courts of the city of Queretaro, Qro., with the parties waiving any other jurisdiction that may correspond to them.

For users subject to the GDPR, the rights and protections granted by applicable European legislation shall not be affected by this clause.

16. Modifications

Visita Segura reserves the right to modify these Terms at any time. Changes will be posted on this page and, for substantial changes, registered users will be notified. Continued use of the Service after modifications are posted constitutes acceptance of the new terms.

17. General Provisions

  1. If any provision of these Terms is declared invalid, the remaining provisions shall remain in effect.
  2. Visita Segura's waiver of a right does not constitute a permanent waiver.
  3. These Terms constitute the complete agreement between the parties regarding the use of the Service.
  4. You affirm that you are over 18 years of age or have the consent of your parents or legal guardians.
  5. Any cause of action must be initiated within one (1) year from when it arises.
